OUR BUSINESS We are developers of gasification project utilizing coal and other feedstocks to produce environmentally friendly products. We have experience in using the best available gasification technology to design facilities that will provide products needed in today and tomorrow’s energy sector. The technology employed is low in air pollution while high in efficiency. In the past, we have worked with GE Gasification, Bechtel and URS on project designs to achieve significant economies of scale in gasification. Power Holdings of Illinois LLC (Power Holdings) is currently in the process of developing a coal gasification facility in Jefferson County, Southwest of Mount Vernon Illinois. The facility will utilize environmentally friendly GE Gasification technology, converting Illinois coal into pipeline quality synthetic natural gas (SNG). Approximately 10,000 tons of Illinois coal will be consumed daily, totaling 3.5 million tons annually, and will be provided by a newly constructed coal mine located adjacent to the facility. The SNG produced by the facility will be transported by pipeline, and ultimately purchased by Illinois utilities for use by residential customers. When operational, this facility will produce 50 Bcf of natural gas annually or 5% of Illinois total consumption. Illinois will benefit in several ways from this project. First, construction of this $1 billion facility will take 1,000 employees approximately 3 years to construct. Once completed, the adjacent coalmine will require 300 new miners and the plant approximately 150 full time employees for operation. Secondly, this project will demonstrate, on a commercial scale, the use of gasification technology with Illinois coal. Illinois coal, though abundant and high in energy, is also high in sulfur content limiting its marketability. Gasification allows for the removal of virtually all sulfur, making gasification the cleanest technology to process Illinois coal. Lastly, Illinois consumers and business have experienced the tripling of natural gas prices in recent years. This increase is due entirely to the depletion of natural gas production in North America. This new facility will provide a much-needed new source of supply helping reduce natural gas costs for all of Illinois. Power Holdings has filed a construction air permit application with the Illinois Environmental Protection Agency. Construction of this facility is now planned for late 2006 or early 2007, with plant start-up approximately 2009. WHO WE ARE Robert A. Gilpin, CEO Mr. Gilpin has more than 20 years energy experience in the gas and electric industry. He has held executive positions at Nicor and Exelon and was responsible for several successful unregulated start-ups. Mr. Gilpin has worked extensively with ChevronTexaco(GE Gasification) over the past two years on incorporating their technology into a large gasification proposal in the Chicago area. Mr. Gilpin holds a BS in Economics from the University of Missouri, and an MBA in Entrepreneurialism from DePaul University Graduate College of Business. Robert J. DeSisto, V.P. Engineering Mr. DeSisto has over 30 years of industrial experience, primarily in manufacturing operations. He has spent the past nine years in power production and development. He has also been responsible for strategic planning and development with Packaging Corporation of America at one of their operating facilities, and was the lead person in developing, installing, and starting up a single-source natural gas pipeline that resulted in cost savings of $6 million dollars a year. Mr. DeSisto has worked extensively with ChevronTexaco(GE Gasification) over the past two years on incorporating their technology into a large gasification proposal in the Chicago area. Mr. DeSisto has a BS in Chemical Engineering from Northeastern University and an MBA in Management from the University of Wisconsin, Oshkosh. Stephen B. Shaw, CFO Mr. Shaw is an energy industry executive with over 20 years experience in finance, accounting, strategic planning, and human resources. Mr. Shaw is the founding member of enStratalytics LLC a consulting firm formed to advise energy clients in strategy and corporate performance. He has held executive positions at ANR Pipeline Company and Michigan Consolidated Gas Company/MCN and has consulting to the energy industry as a Principal at CSC Planmetrics. Mr. Shaw holds both a MA in Economics from Wayne State University and an MBA in Finance from Eastern Michigan University. He also has a BA majoring in Economics and Business Administration from Albion College. Mark J McGuire Mr. McGuire has 30 years of experience in the energy industry. He has practiced energy law at McGuireWoods and Jenner & Block, and as in-house counsel for two of the nation’s largest natural gas distributors. He has extensive experience at the Federal Energy Regulatory Commission and state public utility commissions, and has represented several large energy concerns in such matters. He has advised various clients regarding many types of energy transactions and has been lead counsel for electric power project developers, as well as natural gas, liquids, and coal ventures.
